TRW Declares Quarterly Dividend

Directors of TRW Inc.
declared a quarterly dividend of 17.5 cents per share on the
company’s outstanding common stock.

The directors also declared regular quarterly dividends of $1.10 per share
on the Serial Preference Stock II (Series 1) and $1.125 per share on the
Serial Preference Stock II (Series 3).

The dividends are payable on June 15, 2002, to shareholders of record at
the close of business on May 10, 2002.
It is the 255th consecutive dividend
declared on the company’s common shares.
