Orbital Receives Unqualified Audit Opinion

Company Files Registration Statements Related To Recent $135 Million Financing Transaction


Orbital Sciences
Corporation announced that on November 20, 2002 it filed with the
U.S. Securities and Exchange Commission (SEC) an amendment to its 2001 annual
report on Form 10-K/A, which includes a reissued independent accountants’
report removing the “going concern” qualification issued in the company’s
previously filed annual report. Orbital also filed registration statements
related to the company’s notes and warrants issued in its August 2002 $135
million financing transaction.

Orbital is one of the world’s leading developers and manufacturers of
affordable space systems for commercial, civil government and military
customers. The company’s primary products include low-orbit, geostationary and
planetary spacecraft for communications, scientific and remote sensing
missions; ground- and air-launched rockets that deliver satellites into orbit,
and missile defense boosters that are used as target and interceptor vehicles.
Orbital also offers space-related technical services to government agencies
and develops and builds satellite-based transportation management systems for
public transit agencies and private vehicle fleet operators.
